Definitions

• “Service” means the WiseGist platform, including our website, products, and services provided by Smartunex OÜ.

• “Content” means any material provided by Smartunex OÜ through the Service.

• “User” means any person who accesses or uses the Service.

• “Paid Features” means features of the Service that require a subscription or payment.

• “Subscription” means a recurring paid plan that grants access to Paid Features for a specified period.

1. Acceptance of Terms

By accessing or using WiseGist, you confirm that you have read, understood, and agree to these Terms, including any future updates, and to our Privacy Policy regarding personal data. If you do not agree, you must not use our Service.

2. Accounts and Registration

Some features require registration. You agree to provide accurate information and keep your credentials secure. You are responsible for all activity on your account, and must notify us immediately if you suspect any unauthorized use.

3. User Conduct

• You will not use WiseGist for unlawful, harmful, or abusive activities.

• You will not interfere with the security or operation of the Service.

• You will use the Service only as intended, comply with all applicable laws and regulations, and will not attempt to bypass any technical restrictions.

4. Paid Features

• Access to some WiseGist features is provided via paid subscriptions. Subscriptions are available on a monthly or annual basis and are billed automatically according to the selected plan. Subscriptions will automatically renew at the end of each billing period if a valid payment method is on file and sufficient funds are available.

• You may cancel your subscription at any time. If you cancel a paid subscription, you will retain access to subscription features until the end of the current billing period.

• WiseGist offers a 3-day trial period for new users. During the trial period, no payment will be charged. If you cancel during the trial, your access will continue until the end of the 3-day trial. Payment will only be collected after the trial period ends, unless you cancel before it expires.

• By subscribing, you agree to pay all applicable fees as described on our website. Payments are non-refundable unless otherwise stated. Access to subscription features may be suspended if payment is not received.

5. Intellectual Property

All content, trademarks, and intellectual property on WiseGist are owned by Smartunex OÜ. Use without permission is prohibited.

6. Termination

We may suspend or terminate your account at any time, with or without notice, if we believe you violated these Terms or engaged in harmful behavior. Smartunex OÜ shall not be liable for any consequences resulting from such suspension or termination.

7. Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied. We do not guarantee uninterrupted access or that the Service will meet all your expectations, and we are not responsible for any loss of data or errors.

8. Limitation of Liability

To the fullest extent permitted by law, Smartunex OÜ shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of WiseGist, including loss of data, profits, or business opportunities.

This limitation does not apply to liability arising from intentional misconduct or gross negligence, or any liability which cannot be excluded under applicable law.

9. Changes to Terms

WiseGist reserves the right to make changes to this Terms of Service at any time. We will notify you about significant changes by updating the "Last Updated" date at the top of this document.

10. Governing Law

These Terms are governed by the laws of Estonia, without regard to conflict of law provisions.
